Terms and Conditions

We have pleasure in appointing you as one of our Dealer subject to the following TERMS & CONDITIONS.

Your Dealership is for a period of _________ year from the date of receipt of the copy of this document & Dealership form duly singed with seal.

For ____________________________ your territory will be in __________________________.

You will be allowed discount as per the DISCOUNT SCHEDULE in force & as per the General Trade Policy of AGT ELECTRONICS LTD, referred to as the company. The present price and Discount schedule is enclosed herewith.

You will lift a minimum of ________ units per month average.

Your Dealership status will be periodically reviewed in long term mutually beneficial interest.

Payments should be in advance by way of DD payable at Coimbatore. In special cases it can be dispatched through courier on "DD on delivery basis", courier charges will be borne by you.

You will install and train the customer and are responsible for in warranty service and customer satisfaction during the warranty period. We will train your people in the sales & service of our machine. In case where your service people are not able to repair the machine and subject to our discretion, we shall repair/replace the defective parts/machines free of charge, subject to our standard warranty, a copy of which is enclosed, when the machine/part is sent to our Factory at Coimbatore. You will indemnify the Company from any legal disputes and the consequences therefrom arising out of the sale and in warranty service of AGT machine by you to your customer.

Our liability is limited to repairing or replacing of parts at our option and in no case includes indirect or consequential damages of any nature what so ever.

You should not deal in similar goods which may compete of interfere wit the sale of our products.

You should sell only in the Territory allotted to you.

Either side may terminate this agreement by giving 3 months notice without any financial commitments to either party. However the in warranty service of the machines sold by you will have to be looked after by you even after the expiry of this contract and upto the completion of the warranty period.

You will procure and stock a minimum spares specified at you cost to enable you to cater better to the customers need and ensure optimum customer satisfaction.

The above clauses may be altered, amended, deleted or new clauses may be added with advance information.

Any dispute arising out of this agreement will be subject to Coimbatore jurisdiction only.

In acceptance of the Terms of Dealership you are requested to sing a copy of this Document and send it back to us.
